1. Agreement to Terms

By accessing and using Ecoy (“we,” “us,” “our” or by the registered name “D.T. Solutions” ) services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

2. Services

D.T. Solutions provides web development, web design, e-commerce solutions, SEO services, graphic design, and related digital services. The specific scope of services will be detailed in individual project agreements or service orders.

2.1 Service Delivery

We will deliver services within the agreed timeline specified in your project proposal or service agreement. Delivery timelines are estimates and may be subject to change based on project complexity, client feedback cycles, and other factors communicated during the project.

2.2 Client Responsibilities

Clients are responsible for providing timely feedback, necessary materials (content, images, branding assets), and access to required systems. Delays in client deliverables may impact project timelines.

3. Payment Terms

Payment terms will be specified in your service agreement. Generally:

• Projects may require an upfront deposit (typically 25-50% of total project cost)
• Final payment is due upon project completion or according to the payment schedule in your agreement
• Monthly retainer services are billed in advance
• Late payments may incur additional fees and may result in service suspension

3.1 Refund Policy

Deposits are non-refundable once work has commenced. For completed work, refunds are considered on a case-by-case basis and only if we have materially failed to deliver the agreed-upon services.

4. Intellectual Property

4.1 Client-Owned Content

You retain ownership of any content, images, or materials you provide to us. By providing these materials, you grant us a license to use them for the purpose of delivering our services to you.

4.2 Deliverables

Upon full payment, you will own the final deliverables created specifically for your project (website design, graphics, etc.). However, we retain ownership of:

• • General code frameworks, templates, and tools we use across projects
  • Any pre-existing intellectual property or third-party components
  • The right to showcase your project in our portfolio

4.3 Third-Party Licenses

Some deliverables may include third-party components (fonts, stock images, plugins, etc.) that require separate licensing. You are responsible for obtaining and maintaining these licenses.

5. Warranties and Disclaimers

5.1 Service Quality

We warrant that our services will be performed with professional care and skill. We do not guarantee specific results (such as search rankings, traffic numbers, or sales conversions) as these depend on many factors outside our control.

5.2 Website Maintenance

Websites require ongoing maintenance, security updates, and hosting. Unless covered by a separate maintenance agreement, these are your responsibility after project completion.

5.3 No Warranties on Third-Party Services

We integrate various third-party services (hosting, payment processors, analytics, etc.) but do not control or warrant these services. Issues with third-party services are subject to their terms and conditions.

6. Limitation of Liability

To the maximum extent permitted by law, D.T. Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (whether incurred directly or indirectly), or loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any bugs, viruses, or other harmful code that may be transmitted through our services
• Any errors or omissions in any content

Our total liability for any claims under these terms shall not exceed the amount paid by you to D.T. Solutions for the specific service giving rise to the claim.

7. Confidentiality

We respect the confidentiality of your business information. We will not disclose confidential information shared with us during the course of our engagement except as required by law. For sensitive projects, we are happy to sign a separate Non-Disclosure Agreement (NDA).

8. Termination

8.1 Termination by Client

You may terminate our services at any time with written notice. You will be responsible for payment of all work completed up to the termination date, including any non-refundable deposits.

8.2 Termination

We reserve the right to terminate services if:

• • Payment terms are not met
  • You breach these terms
  • The project scope changes significantly without mutual agreement
  • Continuation of the project becomes impractical or illegal

9. Changes to Services and Terms

We reserve the right to modify our services and these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the Danish courts.
